1. Acceptance of Terms
By accessing and using Thimblely ("the Service"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these terms, please do not use the Service. This Customer Agreement ("Agreement") is entered into between you ("Customer", "you", or "your") and Thimblely Inc. ("Thimblely", "we", "us", or "our").
2. Service Description
Thimblely provides a fashion business management platform that includes: • Client relationship management (CRM) tools • Order management and tracking • Inventory management • Financial tracking and reporting • Team collaboration features • Measurement management • Calendar and scheduling We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.
3. Account Registration
To use certain features of the Service, you must register for an account. You agree to: • Provide accurate, current, and complete information • Maintain the security of your password and account • Promptly update any changes to your information • Accept responsibility for all activities under your account • Notify us immediately of any unauthorized use You must be at least 18 years old to create an account and use the Service.
4. Subscription and Payment
Certain features of the Service require a paid subscription. By subscribing: • You agree to pay all applicable fees as described at the time of purchase • Subscription fees are billed in advance on a monthly or annual basis • All fees are non-refundable except as required by law or as specified in our refund policy • We may change pricing with 30 days notice • Failure to pay may result in suspension or termination of your account
5. Data and Privacy
Your use of the Service is also governed by our Privacy Policy. By using the Service: • You consent to the collection and use of data as described in our Privacy Policy • You are responsible for maintaining backups of your data • You grant us a license to use your data solely to provide and improve the Service • We implement reasonable security measures but cannot guarantee absolute security
6. User Responsibilities
When using the Service, you agree to: • Comply with all applicable laws and regulations • Not use the Service for any unlawful purpose • Not attempt to gain unauthorized access to any systems • Not interfere with or disrupt the Service • Not upload malicious content or code • Not infringe on intellectual property rights • Not misrepresent your identity or affiliation
7. Intellectual Property
The Service and its original content, features, and functionality are owned by Thimblely and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You retain ownership of any content you submit, post, or display through the Service. By submitting content, you grant us a worldwide, non-exclusive license to use, reproduce, and display such content solely for operating the Service.
8. Limitation of Liability
To the maximum extent permitted by law: • The Service is provided "as is" without warranties of any kind • We do not warrant that the Service will be uninterrupted or error-free • We are not liable for any indirect, incidental, special, or consequential damages • Our total liability shall not exceed the amount paid by you in the preceding 12 months
9. Termination
Either party may terminate this Agreement: • You may cancel your subscription at any time through your account settings • We may suspend or terminate your account for violation of these terms • Upon termination, your right to use the Service immediately ceases • We may retain certain data as required by law or for legitimate business purposes
10. Changes to Agreement
We reserve the right to modify this Agreement at any time. We will notify you of any material changes by: • Posting the updated Agreement on our website • Sending an email to your registered email address • Displaying a notice within the Service Your continued use of the Service after such modifications constitutes acceptance of the updated terms.
11. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. Any disputes arising from this Agreement shall be resolved in the courts located in Toronto, Ontario.
